1.1 Subject to these Terms, VivaCity grants you a non-exclusive, non-transferable, revocable right to access and use the API solely for the purpose of developing, implementing, and operating your application or service ("Application") that integrates with VivaCity's services.
1.2 You agree not to use the API for any illegal or unauthorised purpose, or in any manner that violates these Terms or any applicable law or regulation.
2.1 You agree to comply with VivaCity's API documentation and guidelines provided on VivaCity's website or developer portal.
2.2 You are solely responsible for the security of your API key(s) and any activity that occurs under your account.
2.3 You may not sell, rent, lease, sublicense, distribute, or otherwise transfer your API key(s) or access to the API to any third party without VivaCity's prior written consent.
3.1 In addition to cookies, we may also use API event tracking to collect information about how you interact with our API. This may include tracking events such as API calls, responses, errors, and usage patterns. API event tracking helps us monitor the performance of our API, troubleshoot issues, and improve our services.
4.1 All rights, title, and interest in and to the API and any accompanying materials are and will remain the exclusive property of VivaCity and its licensors.
4.2 You retain all rights to your Application, subject to VivaCity's rights in the API and its accompanying materials.
5.1 Unless agreed elsewhere, VivaCity reserves the right to suspend or terminate your access to the API at any time for any reason without prior notice.
5.2 Upon termination, you must immediately cease all use of the API and delete any cached or stored data obtained through the API.
6.1 To the maximum extent permitted by law, VivaCity shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the API, (ii) any unauthorised access to or alteration of your transmissions or data, or (iii) any other matter relating to the API.
7.1 VivaCity reserves the right to update or modify these Terms at any time without prior notice. The most current version of the Terms will supersede all previous versions.
7.2 Continued use of the API after any such changes shall constitute your consent to such changes.
8.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.
